01Agreement to these terms

These Terms of Service (the Terms) form a binding agreement between you and Sunethix Inc., a Delaware corporation (Sunethix, "we," "us," or "our"). They govern your use of the Sunethix websites, web application, and related services (together, the Service).

If you do not agree to these Terms, do not access or use the Service. Where a separate written agreement (such as an institutional order form, master services agreement, or data processing agreement) is signed between you and Sunethix, that agreement controls to the extent it conflicts with these Terms.

02The Sunethix service

Sunethix is an AI reviewer purpose-built for human subjects research submissions. It evaluates submission packages — such as protocols, informed consent forms, recruitment materials, and related documents — against a library of regulatory rules drawn from federal and international frameworks, and produces a citation-backed report identifying gaps, discrepancies, and missing elements.

Each finding is intended to point back to the document it came from and to the regulation it relates to. The Service may evolve over time; we may add, modify, or discontinue features, rule sets, or frameworks.

03Role of the service · no professional advice

Sunethix is a first pass, not a final word. It is a decision-support tool that surfaces potential regulatory discrepancies and missing elements. It does not, and is not intended to, replace human review or independent professional judgment.

Outputs are generated by automated systems and may contain errors, omissions, or inaccuracies. You are responsible for independently verifying any finding before relying on it. You should not submit, withhold, or alter any research document solely on the basis of a Sunethix output without appropriate human review.

04Eligibility & accounts

You must be at least 18 years old and able to form a binding contract to use the Service. To access most features you must create an account and provide accurate, current, and complete information.

• You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
• You must promptly notify us of any unauthorized use or suspected breach of security.
• Accounts are for the named user or organization; you may not share, sell, or transfer account access except as expressly permitted in a written agreement with us.

05Plans, credits & billing

Access to the Service may be offered through self-serve subscription plans, usage-based credits, or institutional agreements. The specific fees, credit allotments, and billing terms applicable to you are those presented at the time of purchase or set out in your order form.

• Subscriptions renew automatically for successive periods unless cancelled before the end of the then-current period. You authorize us (and our payment processors) to charge your payment method on each renewal.
• Credits are consumed as reviews are run. Except where required by law or expressly stated otherwise, fees and consumed credits are non-refundable, and unused credits may expire as described in your plan.
• Taxes are your responsibility and are exclusive of stated fees unless noted.
• We may change pricing on a prospective basis; changes do not affect the period you have already paid for.

06Acceptable use

You agree not to misuse the Service. In particular, you will not:

• Use the Service in violation of any applicable law, regulation, or third-party right;
• Upload content you do not have the right to share, or that infringes intellectual property or privacy rights;
• Reverse engineer, decompile, scrape, or attempt to extract the underlying models, rule logic, or source code, except to the extent such restriction is prohibited by law;
• Resell, sublicense, or provide the Service to third parties except as permitted in a written agreement with us;
• Introduce malware, attempt to gain unauthorized access, or interfere with the integrity or performance of the Service;
• Use the Service to build a competing product, or to train a competing machine-learning model;
• Represent Service outputs as professional legal, medical, or regulatory advice to third parties.

07Your content & submissions

As between you and Sunethix, you retain all ownership of the documents and data you upload to the Service (your Content). You grant Sunethix a limited, non-exclusive license to host, process, and analyze your Content solely to provide, secure, and improve the Service for you, and as otherwise described in our Privacy Policy or a data processing agreement.

You represent and warrant that you have all rights and permissions necessary to upload your Content and to have it processed by the Service, and that doing so does not violate any law or agreement. You are responsible for maintaining your own copies of your Content.

08Protected health information

Unless you and Sunethix have signed a Business Associate Agreement or other written data agreement that expressly permits it, the Service is not intended to receive protected health information (PHI) as defined under HIPAA, or other regulated personal data. You are responsible for de-identifying or appropriately redacting submissions before upload where no such agreement is in place.

If your use case requires processing PHI or other regulated data, contact us at info@sunethix.com to put the appropriate agreement in place before uploading such data.

09Confidentiality

Each party may receive information that is confidential to the other. Each party agrees to protect the other's confidential information using at least reasonable care, to use it only as needed to exercise rights and perform obligations under these Terms, and not to disclose it except to personnel and service providers bound by similar obligations, or as required by law.

10Intellectual property

The Service — including the platform, rule engine, models, software, content, design, and the Sunethix name and marks — is owned by Sunethix and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service in accordance with these Terms. No rights are granted except as expressly stated.

If you provide feedback or suggestions, you grant us a perpetual, royalty-free license to use them without restriction or obligation to you.

11Third-party services

The Service may rely on or integrate with third-party services (for example, cloud hosting, AI model providers, and payment processors). Your use of those services may be subject to their own terms, and we are not responsible for third-party services we do not control.

12Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any finding or output will be complete, accurate, or sufficient for regulatory submission or approval.

13Limitation of liability

To the maximum extent permitted by law, Sunethix and its officers, directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of (or inability to use) the Service.

To the maximum extent permitted by law, Sunethix's total aggregate liability arising out of or related to these Terms or the Service will not exceed the greater of (a) the amounts you paid to Sunethix for the Service in the twelve months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

14Indemnification

You agree to defend, indemnify, and hold harmless Sunethix from and against any claims, damages, liabilities, and reasonable expenses (including attorneys' fees) arising out of or related to your Content, your use of the Service, or your breach of these Terms or violation of law.

15Term & termination

These Terms apply while you use the Service. You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. Upon termination, your right to use the Service ends; sections that by their nature should survive — including ownership, disclaimers, limitation of liability, indemnification, and governing law — will survive.

16Changes to the service & terms

We may modify these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Changes are effective when posted. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

17Governing law & disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. You agree that the state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction in those courts, except where applicable law provides otherwise.

18General

• Entire agreement. These Terms, together with any policies and signed agreements referenced here, are the entire agreement between you and Sunethix regarding the Service.
• Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
• No waiver. Our failure to enforce any provision is not a waiver of it.
• Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• Notices. We may provide notices to you by email or through the Service.
